A merger is when two separate companies join to become a new enterprise, and this can occur a couple of different ways.

In a merger, the two original companies cease to exist and now continue to run as a single entity. Amalgamations and mergers can be driven by two reasons; business or tax. Two corporations (related or unrelated) can come together to do business as a single entity or merge for the reduced tax liabilities.
